Warranty
14. RETURN POLICY. Buyer must obtain a Return Material Authorizaon (RMA) Number from Seller prior to ship-
ping any Product back to Seller. All Returns are to be sent prepaid by Buyer. At the discreon of the Seller, unused and
undamaged Standard Products may, under certain circumstances, be accepted back for credit or exchange. A restocking
charge of 25% may apply. Please consult with the Seller. Custom made products which are returned as defecve, but are
found to meet the specicaons agreed upon, will be subject to a re-tesng charge.
15. STAUTE OF LIMITATIONS. Any acon by Buyer against Seller arising out of or relang to this Agreement or the
alleged breach or non-performance by Seller of any provision hereof, regardless of the theory upon which such acon
is based, must be brought within eighteen (18) months from the date of delivery to Buyer of the Products, material, or
part thereof which gives rise to the acon.
16. DURATION OF QUOTATION. Any Quotaon submied by Seller to Buyer is valid for a period of 15 days from the
date the Quotaon is sent, and cannot be accepted by Buyer aer expiraon of that period. The terms of a Quotaon
are subject to change at any me by Seller without prior noce.
17. ARBITRATION. Either Seller or Buyer may elect, by wrien noce to the other party, to sele any claim or con-
troversy arising out of or relang to this Agreement or the breach or non-performance of any provision hereof, by
arbitraon in accordance with the Commercial Arbitraon Rules of the American Arbitraon Associaon in eect at the
me such claim or controversy arises. Buyer and Seller agree that any arbitraon shall be administered and conducted
in Orange County, California.
18. GOVERNING LAW. This Agreement shall be deemed to have been made in Orange County, California, and shall
be governed by, construed, and enforced in accordance with the internal, substanve laws of the State of California,
without giving eect to conicts of law principles. The Convenon for the Internaonal Sale of Goods shall not apply to
any case or controversy arising out of or related to this Agreement. Buyer hereby submits to the exclusive jurisdicon of
the courts of Orange County, California with respect to any claim or controversy arising out of or related to this Agree-
ment.
19. SEVERABILITY. In the event of any provision of this Agreement is held or determined by a court of competent
jurisdicon to be invalid or unenforceable, the remaining provisions of this Agreement shall remain in full force and
eect.
